HOWELL MINISTERIAL ASSOCIATION

HMA BYLAWS:

PREAMBLE

The fellowship and program of this organization is entered into out of a mutual recognition of ministry and a declared need for cooperation among the ecclesiastical community.

ARTICLE I: Name

The name shall be Howell Ministerial Association. The organization is located in Livingston County, Michigan.

ARTICLE II: Purpose

The purposes of the Howell Ministerial Association shall be:

1. To meet regularly for devotion, fellowship, and business.

2. To discuss and formulate plans of action pertinent to issues of religious or moral concern to the community.

3. To plan and supervise community service ministries originated by the Howell Ministerial Association. 

4. To plan and conduct community joint worship experiences, including (but not limited to) an annual Thanksgiving service, annual Good Friday service, the annual Howell High School Baccalaureate.

5. To support each other and the churches through prayer and shared concern.

ARTICLE III: Membership

Membership in the Howell Ministerial Association is open to ministers, pastors, chaplains, and/or church representatives in good standing with the HMA and attending on a regular basis.  Regular attendance will be 50% of the minimum required meetings of the HMA.

 ARTICLE IV: Dues

Dues shall be fifty dollars ($50.00) per year, payable to the treasurer at the first meeting of the Association in the calendar year.

ARTICLE V: Officers

The officers of the Howell Ministerial Association shall be:

President

Vice President

Secretary

Treasurer

Officers shall be elected by the Association at the June meeting each year, and shall serve for two year terms beginning in September of the year they were elected. The Secretary and Treasurer may serve for two consecutive two-year terms, but after such service are not eligible for election to that office for a period of one year. The Vice President will take over as President after their two year term is expired. The office of President shall be for a two year term.

ARTICLE VI: Duties of Officers

The President shall preside at all meetings, conduct the meetings in an efficient manner, carry through all decisions of the Association, and represent the Association in the community as a symbol of the associated clergy.

The Vice-President shall preside at all meetings in the absence of the President and shall represent the Association in the community when asked to do so by the President.

The Secretary shall take minutes of all proceedings of the Association, and shall forward copies for members, and preserve a permanent copy of the minutes of the Association. The Secretary shall receive, send, and report all correspondence, and maintain the permanent files of the Association. The secretary shall maintain a list of all Howell churches and clergy associated with the HMA.

The Treasurer shall receive and disburse all funds of the Association, maintaining a ledger, and duly recording and reporting such transactions to the membership.

ARTICLE VII: Vacancies

When any office becomes vacant by resignation or for whatever other reason, the office may be filled by election at the next regular meeting of the association.

ARTICLE VIII: Meetings

The Howell Ministerial Association shall meet regularly on the third Tuesday of each month in different churches. The meeting time shall be from 9:00am to 10:30am, unless reset by the President or majority vote.

The HMA shall meet a minimum of eight (8) times per calendar year.  The parliamentary authority to be followed in any and all business of the HMA shall be Robert’s Rules of Order Newly Revised, current edition.

ARTICLE IX: Quorum

The quorum for meetings of the Howell Ministerial Association shall be never less than four.

ARTICLE X: Amendments

These Bylaws shall be amended by 2/3 majority vote of those present and voting at two consecutive meetings of the Association, when notification of Bylaw changes has been forwarded by the Secretary to all members.

 ARTICLE XI: Dissolution

In the event of the dissolution of the Howell Ministerial Association, whether voluntarily or involuntarily, no member, officer or representative shall be entitled to any distribution or division of its remaining property, assets, or the proceeds of the same. In the event of dissolution, the Howell Ministerial Association shall, after paying or making due provision for the payment of all liabilities of the corporation, dispose of all remaining properties or assets to a similar or related organization(s) or entity(ies) which are organized exclusively for charitable or education purposes, and which are at that time fully and duly qualified as an exempt organization(s) within the terms and meaning of Section 501(c )(3) of the Internal Revenue Code of 1954, as now amended and as the same may hereinafter be amended from time to time.
